Article 1. Applicability                                                                                                                                   

These General Terms and Conditions of Delivery (hereinafter: Terms and Conditions) apply to all offers, orders and agreements from Wholesale VitexNatura trading under the name Luxury and Beauty.

Accepting an offer or placing an order means that you accept the applicability of these Terms and Conditions.

The provisions of these Terms and Conditions can only be deviated from after written notification or written approval by Wholesale VitexNatura, in which case the other provisions remain in full force.

All rights and claims, as stipulated in these Terms and Conditions, and in any further agreements for the benefit of Groothandel VitexNatura, are also stipulated for the benefit of intermediaries and other third parties engaged by Groothandel VitexNatura.

Article 3. Offers/agreements

All offers from Wholesale VitexNatura are without obligation and Wholesale VitexNatura expressly reserves the right to change prices, especially when this is necessary based on (legal) regulations.

An agreement is only concluded after acceptance of your order by Wholesale VitexNatura. Wholesale VitexNatura is entitled to refuse orders or to attach certain conditions to the delivery, unless expressly stated otherwise. If an order is not accepted, Wholesale VitexNatura will notify this within ten (10) working days of receipt of the order.

Article 4. Prices and payments

The prices stated for the products and services offered are in Euros, excluding VAT, any taxes and/or other levies, unless stated otherwise or agreed in writing.

For orders with a delivery address outside the Netherlands, regular postal rates apply.

Wholesale VitexNatura offers the following payment option.

Prepayment: You can pay in advance. Your order will then be delivered after your payment has been received by Wholesale VitexNatura. This is a MUST for new customers and unfortunately we have to apply it.

Article 5. Delivery

If the force majeure situation lasts longer than 30 days, both Wholesale VitexNatura and the buyer have the option to terminate the agreement in writing, after which both parties are released from their obligations to each other and any payments already made will be refunded. The delivery times specified by Wholesale VitexNatura are only indicative. Exceeding any delivery period does not entitle you to compensation.

Delivery of the products takes place at the place and time at which the products are ready for shipment to you.

Wholesale VitexNatura is entitled to fulfill the goods to be delivered in parts. The additional costs of subsequent delivery will be borne by Wholesale VitexNatura.

Article 6. Retention of title

Ownership of delivered products will only be transferred if you have paid all that you owe to Wholesale VitexNatura under any agreement. The risk regarding the products passes to you at the time of delivery.

Article 7. Intellectual and industrial property rights

You must fully and unconditionally respect all intellectual and industrial property rights that apply to the products supplied by Wholesale VitexNatura.

Article 8. Complaints and liability

You have the obligation to examine upon delivery whether the products comply with the agreement. If this is not the case, you must contact Wholesale VitexNatura as soon as possible and in any case within two (2) days after delivery, or at least after observation was reasonably possible, at info@vitexnatura-wholesale.com

Since we import products from Southern Europe, Eastern and Asian countries, minor model and/or color changes may occur.

Article 9. Orders/communication

For misunderstandings, mutilations, delays or improper transmission of order data and communications as a result of the use of the Internet or any other means of communication in the traffic between you and Groothandel VitexNatura, or between Groothandel VitexNatura and third parties, insofar as they relate to the relationship between you and Groothandel VitexNatura, Groothandel VitexNatura is not liable, unless and insofar as there is intent or gross negligence on the part of Groothandel VitexNatura.

Article 10. Personal data

Wholesale VitexNatura complies with the Personal Registration Act. The information provided will be included in a file. Wholesale VitexNatura respects the privacy of all users of its site and ensures that personal information is always treated confidentially. This information will be used to process orders as quickly and easily as possible. The personal data will never be made available to third parties that are not affiliated with Wholesale VitexNatura.

Article 11. Force majeure

Without prejudice to its other rights, in the event of force majeure, Groothandel VitexNatura has the right, at its own discretion, to suspend the execution of your order or to terminate the agreement without judicial intervention, by notifying you in writing and without Wholesale VitexNatura being obliged to pay any compensation, unless this would be unacceptable in the given circumstances according to standards of reasonableness and fairness.

Force majeure means any shortcoming that cannot be attributed to Groothandel VitexNatura, because it is not attributable to its fault and is not its responsibility under the law, legal act or generally accepted views.

Article 12. Miscellaneous

If you provide Groothandel VitexNatura in writing with an address, Groothandel VitexNatura is entitled to send all orders to that address, unless you provide Groothandel VitexNatura in writing with a different address to which your orders should be sent.

If Groothandel VitexNatura allows deviations from these Terms and Conditions, whether tacitly or otherwise, for a short or longer period of time, this does not affect its right to demand immediate and strict compliance with these Terms and Conditions. You can never assert any rights based on the fact that Groothandel VitexNatura applies these Terms and Conditions flexibly.

If one or more of the provisions of these Terms and Conditions or any other agreement with Groothandel VitexNatura are in conflict with any applicable legal provision, the provision in question will lapse and will be replaced by a new legally permissible comparable measure to be determined by Groothandel VitexNatura. provision.

Wholesale VitexNatura is authorized to use third parties to process your order(s).

Article 13. Applicable law and competent court

All rights, obligations, offers, orders and agreements to which these Terms and Conditions apply, as well as these Terms and Conditions, are exclusively governed by Dutch law.
All disputes between parties will be submitted exclusively to the competent court in the Netherlands.
